1. Scope of Services
The Service Provider provides computer-aided design (CAD), drafting, and related design services (“Services”) as described in the applicable Quote and/or Statement of Work (“SOW”).
Services may include concept development, drafting, and design support for customer review, prototyping, or manufacturing coordination. The Services do not include certified engineering, architectural, or professional sign-off drawings.
All deliverables are provided for review and approval by the Client prior to any use, manufacturing, or implementation.
2. No Certified or Regulated Services
The Service Provider does not provide:
- Professional engineering or architectural services
- Certified, stamped, or code-compliant drawings
- Services intended for aerospace, medical, life-safety, or other regulated applications
The Client acknowledges that the Services are non-certified design and drafting services only.
3. Client Responsibility and Review
The Client is solely responsible for:
- Reviewing and accepting all drawings, models, and deliverables.
- Verifying dimensions, tolerances, materials, and suitability for intended use and application.
- Approving designs prior to manufacturing, purchasing, or implementation.
The Service Provider is not responsible for costs, losses, or damages arising from the Client’s failure to review and approve deliverables.
4. Design Revisions and Corrections
Reasonable revisions necessary to correct clear drafting or design errors within the SOW made by the Service Provider are included at no additional cost to the client, up to the discretion of the Service Provider, provided such errors are identified within fifteen (15) calendar days from the date of deliverable submission. After day fifteen (15), all files and deliverables are considered final, and any revisions or modifications may be billed separately at the sole discretion of the Service Provider.
Changes resulting from, but not limited to:
- Client preference changes
- Evolving requirements
- New information provided after approval

- A revised quote with acceptance from the Client, or
- Written authorization to proceed on a time and material basis
The Service Provider is not obligated to perform additional work without written approval.
6. Prototype 3D Printing Services
If prototype 3D printing services are provided, such services are limited strictly to non-structural, non-safety, form, fit, and visual evaluation purposes.
- Prohibited Applications: Printed parts are not intended for, and shall not be used in:
- Structural, load-bearing, or safety-critical applications.
- Life-safety functions or regulated medical devices.
- End-use production components or commercial deployment.
- Automotive (safety-related), aerospace, or maritime components.
- Technical Limitations: The Client acknowledges that material properties, dimensional accuracy (tolerances), surface finish, and overall performance will vary due to the nature of Fused Deposition Modeling (FDM) additive manufacturing.
- Client-Supplied Files: For 3D printing services based on files provided by the Client, the Service Provider does not guarantee “printability.” If a print fails due to design flaws, non-manifold geometry, or insufficient wall thickness in the Client’s file, the Client remains responsible for the costs of material and machine time incurred.
- Final Validation: The Client assumes all risk and is solely responsible for evaluating, testing, and validating all printed parts prior to any use or integration.
The Client is solely responsible for evaluating all printed parts prior to any use.
7. Excluded Uses
The Client agrees not to use any deliverables or printed prototypes for:
- Structural or load-bearing purposes
- Safety-related applications
- Compliance with codes, standards, or regulations
- Production or commercial deployment without independent validation
Any such use of any deliverables or printed prototypes is at the Client’s sole risk.
8. Fees, Quotes, and Payment Terms
All fees are outlined in the applicable Quote or SOW.
For fixed-price projects valued over $100 CAD:
- 50% of the quoted fee is due upon written acceptance of the quote
- 50% is due upon completion and prior to the release of final deliverables, unless otherwise agreed in writing
For smaller projects valued under $100 CAD or time-based work, payment terms will be stated in the Quote or invoice.
Invoices are payable within the time specified. Late payments may delay delivery of services.
9. Quote Acceptance
A Quote is considered accepted when the Client:
- Provides written confirmation (email acceptance is sufficient), and
- Pays any required deposit
Once accepted, the Quote and these Terms & Conditions form a binding agreement.
10. Intellectual Property
Upon full payment, the Client owns the final deliverables produced specifically for them, unless otherwise stated in writing.
The Service Provider retains the right to:
- Retain copies for records
- Use non-confidential images or renders of deliverables for promotional and portfolio purposes unless otherwise restricted by a signed NDA.
- Reuse general design knowledge, techniques, and non-confidential concepts

11. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or confidential information received in connection with the Services.
This obligation survives termination of the agreement.
12. Limitation of Liability
To the maximum extent permitted by law, the Service Provider’s total liability for any claim arising from the Services, including physical prototype parts, shall be limited to the fees paid for the Services giving rise to the claim. Any claims must be brought forward within 6 months of the paid fees.
In no event shall the Service Provider be liable for:
- Lost profits
- Production costs
- Manufacturing errors
- Consequential or indirect damages
13. No Warranty
